Terms of Service

Summary
By using Toolenza you agree to the terms below. They are written in plain English wherever the law allows; defined terms (e.g. "Service") are capitalised.
1. Definitions
- "Service" means Toolenza — the tools, APIs, and content available at this domain.
- "You" means the individual using the Service, or the organisation on whose behalf you act.
- "We", "us" means the operator of Toolenza.
- "Content" means data, text, files, or other material processed by or stored on the Service.
2. Acceptable use
You agree not to:
- Use the Service to process or distribute illegal content (CSAM, malware, content that infringes third-party rights, etc.).
- Attempt to break, probe, or overload the infrastructure (DDoS, vulnerability scanning without authorisation, automated abuse).
- Scrape the site, the API, or shared pages beyond the documented rate limits.
- Resell or sublicense the Service without a Team / Enterprise agreement.
- Impersonate another person or organisation, or misrepresent your affiliation.
- Bypass any access control, paywall, or rate limit through technical means.
Violations may result in immediate suspension of your account and forfeiture of any prepaid balance.
3. Accounts
- You're responsible for the activity on your account and for keeping your credentials confidential.
- One person per account; one organisation per Team plan. Sharing logins violates these terms.
- You must be at least 13 years old (16 in the EU) to create an account.
- We may suspend accounts that show signs of compromise (unusual logins, abuse reports, payment fraud) and contact you to verify.
4. Payments and subscriptions
- Paid plans renew automatically at the end of each billing period unless cancelled before renewal.
- Prices may change with at least 30 days' notice. Existing subscriptions are honoured at their renewal price until the next renewal.
- Refunds: monthly plans are non-refundable but cancellable any time (you keep access until the period ends). Annual plans are refundable on a pro-rata basis within 14 days of purchase. After 14 days they convert to non-refundable.
- If a payment fails, the plan downgrades to the free tier after 7 days of failed retries. Saved data is preserved.
- Taxes: prices are quoted exclusive of tax. Where required (EU VAT, UK VAT, US sales tax in applicable states), tax is collected at checkout via Stripe.
5. API usage
- API quotas are enforced monthly, resetting 30 days after first use. Exceeding the quota returns a 429 response with an upgrade link.
- Spike-rate limits apply per minute regardless of plan and return 429 when exceeded.
- API keys are tied to your account. Treat them like passwords. Compromised keys can be rotated from your dashboard.
- Don't redistribute your API key. Build a server-side proxy if you need to expose tools to your own users.
6. Your Content
- You own your Content. Uploading or pasting it into Toolenza does not transfer ownership to us.
- You grant us a narrow licence to process your Content solely to provide the requested feature (e.g. read a PDF you're merging, send a reminder you've scheduled). We don't use your Content to train models or for any other purpose.
- You're responsible for ensuring you have the right to upload and process the Content. We're not responsible for copyright or licensing disputes over user-supplied material.
- Public shared pages (e.g.
/p/{token}shared items) are accessible to anyone with the link. Don't share what you don't want publicly findable.
7. Intellectual property
The Service — the tools themselves, the UI, the brand, the docs — is owned by us and protected by copyright, trademark, and other laws. You may not copy, reverse-engineer, or create derivative works of the Service except as permitted by law (e.g. interoperability under the EU Software Directive).
The embed widget (/embed/{slug}) is licensed for free use on third-party sites, subject to attribution remaining intact.
8. Warranties and disclaimers
The Service is provided "as is" and "as available". We make no warranty that it will be uninterrupted, error-free, or suitable for any particular purpose. Calculators, AI outputs, and similar tools are informational — never a substitute for professional advice (legal, medical, financial, tax, etc.).
To the maximum extent permitted by law, we disclaim all warranties (express, implied, or statutory) including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $50.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
Some jurisdictions don't permit these limits; in those jurisdictions our liability is limited to the minimum permitted by law.
10. Indemnification
You agree to indemnify and hold us harmless from any third-party claims, damages, and expenses (including reasonable legal fees) arising out of your violation of these terms, your Content, or your misuse of the Service.
11. Termination
- You may cancel your subscription or delete your account at any time from your account dashboard.
- We may suspend or terminate accounts that violate these terms, with notice where practical and without notice for severe violations.
- On termination, your right to use the Service ends immediately. Sections that by their nature survive termination (Sections 6, 7, 8, 9, 10, 13) will remain in effect.
12. Changes
We'll update these terms when we change how the Service works. Material changes will be announced at the top of this page and (for active accounts) by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
13. Governing law and disputes
These terms are governed by the laws of the jurisdiction in which we are incorporated, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction, except that you may bring claims in your local small-claims court where permitted.
If you're a consumer in the EU/UK, this clause doesn't affect your statutory rights or your right to bring proceedings in your home jurisdiction.
